These terms and conditions (“Agreement”) set forth the general terms and conditions of your use of the wearebayleaf.com website (“Website” or “Service”) and any of its related products and services (collectively, “Services”). This Agreement is legally binding between you (“User”, “you” or “your”) and Bayleaf Solutions Ltd (“Bayleaf Solutions Ltd”, “we”, “us” or “our”). If you are entering into this Agreement on behalf of a business or other legal entity, you represent that you have the authority to bind such entity to this Agreement, in which case the terms “User”, “you” or “your” shall refer to such entity. If you do not have such authority, or if you do not agree with the terms of this Agreement, you must not accept this Agreement and may not access and use the Website and Services. By accessing and using the Website and Services, you acknowledge that you have read, understood, and agree to be bound by the terms of this Agreement. You acknowledge that this Agreement is a contract between you and Bayleaf Solutions Ltd, even though it is electronic and is not physically signed by you, and it governs your use of the Website and Services.

Billing and payments

You shall pay all fees or charges to your account in accordance with the fees, charges, and billing terms in effect at the time a fee or charge is due and payable. If, in our judgment, your purchase constitutes a high-risk transaction, we will require you to provide us with a copy of your valid government-issued photo identification, and possibly a copy of a recent bank statement for the credit or debit card used for the purchase. We reserve the right to refuse any order you place with us. We may, in our sole discretion, limit or cancel quantities purchased per person, per household or per order. These restrictions may include orders placed by or under the same customer account, the same credit card, and/or orders that use the same billing and/or shipping address. In the event that we make a change to or cancel an order, we may attempt to notify you by contacting the e-mail and/or billing address/phone number provided at the time the order was made.

Accuracy of information

Occasionally there may be information on the Website that contains typographical errors, inaccuracies or omissions that may relate to product descriptions, pricing, availability, promotions and offers. We reserve the right to correct any errors, inaccuracies or omissions, and to change or update information or cancel orders if any information on the Website or Services is inaccurate at any time without prior notice (including after you have submitted your order). We undertake no obligation to update, amend or clarify information on the Website including, without limitation, pricing information, except as required by law. No specified update or refresh date applied on the Website should be taken to indicate that all information on the Website or Services has been modified or updated.

Although the Website and Services may link to other resources (such as websites, mobile applications, etc.), we are not, directly or indirectly, implying any approval, association, sponsorship, endorsement, or affiliation with any linked resource, unless specifically stated herein. We are not responsible for examining or evaluating, and we do not warrant the offerings of, any businesses or individuals or the content of their resources. We do not assume any responsibility or liability for the actions, products, services, and content of any other third parties. You should carefully review the legal statements and other conditions of use of any resource which you access through a link on the Website. Your linking to any other off-site resources is at your own risk.

Guarantee

Bayleaf Solutions Ltd do not guarantee the success of any application for honours, awards, peerage or any other service provided through the site. We will make best efforts, in conjunction with the customer and/or applicant, to provide an application which meets the required criteria for success. Under no circumstances will any refund be granted for rejection or unsuccessful applications.

In the case that once an order has been placed, if both parties agree that the likelihood of success is low due to new information being made available that was not available prior to order placement, then the application will not be made and a refund of 50% of the total fee will be provided. For the avoidance of doubt, payment for 50% of the total service remains payable in such circumstances.

Client Declarations & Disclosure

The Client bears full responsibility for the veracity of the facts and other details in the nomination. All information included in the nomination must be checked by the Client prior to submission. Submission of the nomination (either online or by post) must be performed by the Client. Bayleaf bears no responsibility for information included in the nomination which subsequently is revealed to be inaccurate or false either through Client error, supporter error or any other cause.

The Client warrants that all information given to Bayleaf in the initial phase of engagement (prior to order placement) or during the order execution phase is correct and truthful to the best of the Client's knowledge and that any incorrect information will be corrected at the earliest opportunity.

The Client is responsible for the final act of submission (either final online submission or posting) thereby ensuring that all documents, information, attachments or other included information is correct. No responsibility is accepted for any information submitted in error.

Payment Terms

For packages or services with final payments labelled "Due At Submission", payments are to be made and cleared upon approval of the final text and prior to submission.

Should the client opt for the option to pay by installments, the nomination will be fully prepared but will not be submitted until 50% of the total payment has been made. Should the payment plan be cancelled, delayed without explanation or otherwise terminated prior to completion of the payment plan, or if the submission is made prior to payment of outstanding fees, we reserve the right to withdraw the nomination without notice by notifying the Honours Committee directly. In this instance, no refund will be made.

"No Risk" Packages

In the event that the Client opts to pay the stated premium for a "No Risk" package, Bayleaf commits to submit an initial nomination in line with normal terms and conditions. Should that initial nomination be deemed unsuccessful after a minimum of 42 months from submission, the Client is required to make contact with Bayleaf to initiate a second nomination to be updated and submitted without additional charge at a time of mutual agreement. (Should such agreement not be reached, the 2nd submission must be made within 24 months of the Client initiated contact.)

In the event that the second nomination is deemed unsuccessful after a minimum of 42 months from the second submission, the Client is entitled to a full refund and must contact Bayleaf to seek such refund which will be provided within 60 days of request. (For the avoidance of doubt - the refund may take place between 7 and 9 years after the initial placement of the order.)

For this refund to be valid, the Client must commit that activity which is considered a key part of the nomination is continued between the first and second nominations to allow the second nomination to contain greater scope and depth than the initial nomination. If no such activity has continued and no further scope exists for a substantively extended second nomination, Bayleaf reserves the right to terminate the agreement (ie not submit a 2nd nomination) with a 50% refund of the entire fee.

For clarity, the definition of "unsuccessful" in this clause refers to the absence of any notification of any of the Honours covered by the single application process ie BEM, MBE, OBE, CBE or KBE, or any alternative award awarded by the Government at that time. No refunds will be provided if the client feels that the awarded honour is not of the expected level. Similarly, no subsequent application will be made to apply for a more senior honour under this service.

In the event that Bayleaf Honours receives information or has reason to believe that the initial nomination was rejected for grounds other than the merits of the activity itself ie for reasons of unsatisfactory background checks which would not materially change for a second nomination, Bayleaf reserve the right to decline to continue with the second nomination and refund 50% of the paid fee without disclosure of the information received.

The client warrants on acceptance of these terms that no previous honours nomination has been made on behalf of the nominee with the knowledge of the client or the nominee. If the existence of such a nomination is discovered after work has commenced, Bayleaf reserve the right to decline to continue with the second nomination and refund 50% of the paid fee.

We reserve the right to not offer this package to any individual client based on our assessment of circumstances without disclosing reasons at any point in the process. If payment has been made, we reserve the right to refund the fee and cancel the order without notice or reason.

Timescales for Submission

Any estimation given on timescale for submission is for indication purposes only. We commit to submit applications in a reasonable time and make best efforts to collect letters of support or other supporting material in a timely manner. In the event that clients to not submit required information in a timely manner, or fail to respond to requests or emails from us in a reasonable timeframe, or supporters do not submit letters as agreed, or any other delay outside the influence of Bayleaf, we will not accept any request for compensation or refund.

Bayleaf will not be responsible for any costs of rework or resourcing of either the submission or the supporter letters if the client does not respond in a timely manner to any request for review or additional information from Bayleaf.

Payment for Successful Nominations

In the case of a client contracting a service which includes payment for a successful nomination, "successful" is defined as any of the Queen's Honours Awards specifically British Empire Medal, MBE, OBE, CBE, DBE or KBE.

If a client receives an Honour within 4 years of a nomination submitted with the assistance of Bayleaf Solutions, the agreed payment is due within 60 days of the submission of the invoice by Bayleaf to the client. For the avoidance of doubt, payment of this element is due whether or not any subsequent or prior nominations were submitted by any other party.

Should payment not be made as contractually agreed, Bayleaf retains the right to use legal mechanisms to pursue the claim. In this event, our commitments under our privacy policy will be waived for the specific purposes of seeking recompense.

Refund Policy

Since the Website offers non-tangible, irrevocable goods we do not provide refunds after the product is purchased (unless required under statutory consumer rights legislation) which you acknowledge prior to purchasing any product on the Website. Please make sure that you’ve carefully read service description before making a purchase.

The only exception to this is laid out in the "Guarantee" section of these Terms and Conditions whereby both parties agree that a nomination is unlikely to succeed.

At the sole discretion of Bayleaf Solutions, if a client has not provided any information to us to commence the order for work in any substantive way, a partial refund may be offered.

Supporter Communications and Privacy

Disclosure of direct communication between Bayleaf and the nominated supporters of a client will be limited to

1. Use of any suitable letter of support generated on behalf of the client's nominations
2. Upon request, sharing of emails to a supporter to demonstrate reasonable efforts to secure such a letter
3. Tracking of progress of supporter outreach via the client portal

Under no circumstances will direct responses from a supporter be shared with a client; supporters have a reasonable expectation of privacy in these matters.

Contact data from supporters will not be retained on any internal database, nor used for any communication other than directly related to the nomination for which they have been suggested.

Changes and amendments

We reserve the right to modify this Agreement or its terms related to the Website and Services at any time at our discretion. When we do, we will revise the updated date at the bottom of this page. We may also provide notice to you in other ways at our discretion, such as through the contact information you have provided.

An updated version of this Agreement will be effective immediately upon the posting of the revised Agreement unless otherwise specified. Your continued use of the Website and Services after the effective date of the revised Agreement (or such other act specified at that time) will constitute your consent to those changes.

Acceptance of these terms

You acknowledge that you have read this Agreement and agree to all its terms and conditions. By accessing and using the Website and Services you agree to be bound by this Agreement. If you do not agree to abide by the terms of this Agreement, you are not authorized to access or use the Website and Services.
